As detailed below, the lawsuit alleges that the company and its officers violated federal securities law by making false and/or misleading statements and/or failing to disclose that: (1) minimize defense concerns similar to GM vehicle airbags; (2) failing to disclose the need to include additional warranty provisions for recalls such as defective airbags; (3) overestimating the scope and effectiveness of your efforts to analyze defects in your vehicles’ airbag inflators; (4) concealing from regulators and investors the serious customer defense and coverage considerations raised through GM’s autonomous vehicle technology; (5) exaggerate the prospect of widespread regulatory approval and adoption of GM’s autonomous vehicles; and (6) concealing from investors the true extent of the heightened threat of regulatory scrutiny and enforcement actions, significant legal liabilities, product recalls, and reputational damage.
Cruise LLC (“Cruise”) is the global segment majority-owned by GM responsible for the development and advertising of autonomous cars (“AVs”), i. e. , driverless technologies. Cruise was given control and driving permits for his advertising cars with the obvious premise that those advertising cars were safe enough for such purposes.
Since at least November 2020, GM products have been the subject of multiple recalls due to defective airbag parts in the company’s vehicles, exposing the company to various global lawsuits. However, GM has consistently downplayed the safety considerations relevant to its vehicles’ airbags and necessity. to record additional warranty provisions for recalls of similar products, while promoting the company’s efforts to identify and detect defects in its vehicles’ airbag inflators.
Following this news, GM’s stock price fell to $1. 09 on a percentage basis, or 3. 36%, to close at $31. 38 on a percentage basis on October 3, 2023.
On October 5, 2023, the National Highway Traffic Safety Administration held a public hearing to propose the recall of more than 50 million airbag inflators linked to life-threatening explosions. Citing other people familiar with the matter, the Wall Street Journal (“WSJ”) later reported that at least 20 million GM cars had been made with the defective airbag inflators in question, at least one of which resulted in an obvious death.
Following the news, GM’s stock value fell to $0. 73 constant percent, or 2. 35%, to close at $30. 31 constant percentage on October 5, 2023.
On October 24, 2023, the California Department of Motor Vehicles (“California DMV”) issued a statement declaring the immediate suspension of Cruise’s deployment and driverless verification permits. In postponing Cruise’s permits, the California DMV cited, among other issues, that Cruise “misrepresented. “. . data relating to [the] protection of the autonomous generation of its vehicles’.
Then, on October 26, 2023, Cruise announced a post on X (formerly Twitter) that it would suspend all of its AV operations nationwide “while we take the time to review our processes, systems, and equipment and think about how it can work better in a way that earns the public’s trust. “
Following this news, GM’s stock price fell to $1. 33 on a percentage basis, or 4. 66%, to close at $27. 22 on a percentage basis on October 27, 2023.
